Revision Date: April 12, 2022

These POS Terms and Conditions (POS Terms and Conditions) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”/ “the User”) and Nomba Financial Services Limited ( “Nomba”, “we,” “us” or “our”), concerning your access to and use of our Terminal. You agree that by accepting these terms, you have read, understood, and agree to be bound by all of these Terms and Conditions. Nomba may revise these Terms and Conditions of Use at any time by updating this posting.

  1.  Definitions

User(s) means a person or entity who successfully subscribes to the Application. The term User shall include the said Usert’s personal representatives, successors in title and assigns as well as persons acting with the User’s authority such as servants or employees
User Locations means the  physical location or place used by the User to conduct business as stated in User’s biodata information.

Users Wallet means a digital account on the Nomba (formerly Nomba) Mobile Application that, when funded, allows the User  to access the Services.

Agreement means these POS Terms and Conditions

Application means the Nomba (formerly Nomba) Mobile Application

Card Holder means an individual or company issued with a payment card linked to an account at a licensed financial institution who uses the card to effect a transaction on the Terminal(s).

Commencement Date means the date the Terminal(s) is linked to the User’s Wallet.

“Nomba”, “we”, “us”, “our” means Nomba Financial Services Limited and where applicable, its employees, officers and authorized agents.

Caution Fee means the POS Lease fee as communicated by us from time to time, and  paid by the User before the issuance of Terminal(s)

CBN means the Central Bank of Nigeria.

Return Fee/ Depreciation Fee means the fee payable for the value of the POS device minus all of the accumulated loss in usage. Depreciation fee  is calculated from the receipt of the Terminal and at:

Month 1 – 75%

Month 2 – 50%

Month 3 – 25%

Hot list means list of deactivated cards that were reported missing, stolen, lost or damaged by the card holders.
Issuing Bank means Banks or financial institutions that have issued payment cards to their Customers

Lease Application means the request for a POS initiated by a User  via the Application

Payment Card Any debit card issued by any Financial Institution in Nigeria.

Payment Terminal Service Aggregator/PTSA means the Nigeria Inter-Bank Settlement System, the entity mandated to, among others, act as the Automated Clearing House and payment terminal service aggregator and the Central Switch for Nigeria.

Payment Terminal Services Provider/PTSP means a CBN licensed entity responsible for the deployment, maintenance and support of payment terminals on behalf of acquiring banks.

POS Point of sale terminal

POS Lease means an arrangement whereby the User ‘leases’ the POS terminal from Nomba and subject the payment of the Caution Fee as stipulated/ communicated from time to time via the Application  .
Terminal(s) means the point of sale devices running on the approved software supplied by the Company to the User  to facilitate payments at the User’s Locations.
Transactions means all transactions done through the point of sale terminal.

  1.  Services
  1.  Nomba may in its absolute discretion, and subject to the Lease Application by a User, deploy its Terminals to the User as  it deems fit.
  2.  Nomba may lease a Terminal to a User subject to the fulfillment of the prerequisites as communicated to the User from time to time including but not limited to set transaction thresholds and the payment of the lease sum.
  3. Nomba may also at his discretion and subject to additional terms and condition distribute its POS through designated partners and aggregators subject to additional  terms and the paymemet of the Lease sum by the said partner
  4.  Ownership
  1.  The Terminal(s) remain the property of Nomba, but the responsibility for the Terminal shall remain with the User  irrespective of the caution fee paid by the User.
  2.  Terminals received by a User through any designated partner in Clause 2 above may be returned through the designated partner or directly to Nomba. Notwithstanding Nomba shall not be liable to any such User in lease fees not directly paid to it and consequently the relevant clauses on Depreciation and Return Fee may not be applicable
  3. The User must obtain a Terminal Received Voucher (TRV) from Nomba certifying the condition of the Terminals upon return/surrender of the Terminal(s) to Nomba.
  4. Where the User obtains a TRV from Nomba certifying that the Terminal(s) returned/surrendered is in good condition, Nomba shall pay the Return Fee  paid by the User subject to depreciation and logistics costs. Depreciation is calculated from the receipt of the Terminal and as specified above i.e. Month 1 at 75%, Month 2 at 50% and Month 3 at  25%. For clarification purposes, a User shall not be entitled to any Return Fee after four months from the receipt of the Terminals.
  1. Point Of Sale (POS)/Transaction Fees
  1. The transaction fees payable by the User shall be a percentage of each Transactions or a flat fee per Transaction as decided by Nomba and communicated from time to time
  2. The transaction fee shall be paid to Nomba and this will be directly deducted from the User’s Wallet with Nomba.  
  3. The transaction fees payable by the User may vary subject to the transaction sum.
  4.  Terminal Location
  1.  The Terminal(s) shall be used and located only at the User’s site(s) stated in the User’s biodata information as the User’s primary or secondary location or as communicated to Nomba in writing from time to time
  2.  the User must at all times know the location of the Terminal(s). Nomba shall conduct spot checks to ensure this condition is adhered to. Any re-locations must be approved by Nomba in writing.
  3.  Subcontracting of Terminals to third parties is strictly prohibited, and Nomba shall only recognize the registered/ Mapped User.
  4.  Nomba reserves the right to immediately retrieve/recover all of its Terminals should the Terminal be subcontracted to a third party, be used at any other site or location contrary to the location stated herein or be used for any business other than as expressly permitted by this POS Terms and Conditions
  5.  User’s Obligations
  6.  As regards each POS Device the User shall:
  1. promptly honour, without discrimination, all valid Payment Cards.
  2. be authorized to refuse to accept payment by means of an electronic payment instrument, including payment with cards, if: the electronic payment instrument is invalid; a notification of loss, missing, stolen or damaged has been made of the electronic payment instrument; the cardholder refuses to present a document confirming his/her identity in the event of suspicious / unauthorized use of electronic payment instruments.
  3. reject any unsigned electronic payment card for Transactions.
  4. ensure valid identification cards under the Know Your Customer (KYC) Policy document  (i.e. National Identification Card, Driving License, International Passport) are obtained from customers for Transactions in excess of N200,000.00 (Two Hundred Thousand Naira only) or its equivalent in any currency
  5. check card security features prior to completing any Transaction. Such check shall include but not be limited to comparing card number on the card with the card number on the POS receipt or voucher.
  6. keep for not less than 120 days or such other period as Nomba may stipulate from time to time details of all Transactions and documents including but not limited to receipts, personal identification etc related to the cardholder and the Transactions and upon the request of Nomba provide within 7 days from the date of such request such details and documents
  7. In case of failure, refusal or neglect to provide such details and documents for any reason whatsoever upon the request of Nomba, the User hereby indemnifies Nomba against all losses, claims, demands, liabilities, actions, proceedings, damages, cost, fees and expenses arising as a result of non compliance and shall be bound to pay Nomba the amount or value of any such losses, claims, demands, liabilities, actions, proceedings, damages, cost, fees and expenses costs including attorney or solicitors fees.
  1.  the User shall ensure Terminals shall only be operated by staff nominated and authorized by the User.
  2. the Users’ customers shall not in any way be permitted to operate the Terminal.
  3. the User shall report all suspicious Transactions to Nomba not later than 12 hours after the same or before 12 noon on the next working day.
  4.  the User shall display the payment device conspicuously enough for the cardholder to observe the amount entered into the device before the cardholder enters his/her PIN and shall ensure that the “card never leaves sight of cardholder” rule is strictly observed.
  5. Unless otherwise specified, the User agrees to retain and provide, at Nomba’s request, copies of all Sales and Credit Slips and all Card Transactions’ records.
  6.  the User shall be required to take good care of the Terminal and keep it away from any possible contact with fluids, food or materials which may damage its functionality and immediately notify Nomba if the POS Terminal is damaged or stolen.
  7.  the User will be liable for the full repair or replacement costs of a Terminal that is damaged, lost or misplaced whilst in the Users’ custody, as result of the Users negligence and subject to the provision of section 3(c) above. A schedule of costs is available from Nomba upon request.
  8.  the User shall allow Nomba and parties authorised by Nomba to have access to the Terminal for routine support, repair and or replacement.
  9.  the User shall ensure that Terminals are not used for fraudulent activities and shall be held liable for frauds arising from its negligence or connivance.
  10.  the User shall ensure that Terminals are carefully maintained and secured against damage and theft in locations.
  11.  the User shall not tamper with the hardware or application loaded on the Terminal.
  12.  Where the Terminal is damaged beyond repair within one (1) year of deployment, the User shall bear the cost of replacement, subject to the provision of sections 3(c) and 6(7)(h) above.  
  1.  Chargeback
  1. the User shall not under any circumstance refund the cardholder in cash for unsuccessful or declined Transactions. the User should refer the cardholder to the Issuing Bank to lodge their claim and/or the User should lodge the claim with Nomba. 
  2. Nomba will not be held liable for any losses which the User may incur from any refund in  (a) above.
  3.  Card Fraud
  1. In the event of a valid fraudulent Transaction claim, the User would be charged 105% of the value of the claim if the User is found to be negligent in the area of enforcing cardholder identification at the point of receiving the cardholder’s payment card to be used on the Terminal.
  2. In the event of a valid fraudulent Transaction claim, if the User is found to have connived with the perpetrator(s), the User would be reported to the law enforcement agencies and/or blacklisted from Transactions by the Nomba/ any financial institution or/ and regulatory authorities or all the penalties stated in this section
  3. Nomba may freeze the User’s account in an event where a fraudulent Transaction is reported on the POS Terminal deployed to the User’s location.
  1.  Obligation of Nomba
  1. Only deploy and support POS Terminals through a CBN licensed Payment Terminal Services Provider (PTSP).
  2. Ensure that Terminals deployed at the User location(s) through the PTSP shall accept all payment cards (card agnostic).
  3. Ensure that the Terminals are connected directly to the Payments Terminal Service Aggregator.
  4. Perform prompt settlement of the User.
  5. Liaise with the PTSP to ensure that faulty Terminals are attended to within the scheduled time frame of 24 hours for Lagos and 72 hours for locations outside Lagos, subject to the availability and support of the PTSP.
  6. Ensure that, subject to the filling of appropriate forms required for Agent registration/onboarding, a match check is conducted on the User to verify a good track record before the User is issued a POS.
  7. Provide continuous training of the User on Terminal usage at the User’s locations.
  8. Terminal Support Services
  1. Hardware technical support and services shall be carried out by Nomba’s technical department.
  2. All Terminal repairs shall be done on a carry-in basis.
  3. the User may call for hardware support by dialing our customer care numbers [018885008] or sending the email to [email protected].

  1.  Term, Termination and Retrieval
  1. These terms and conditions shall be deemed effective and in full force from the date of Activation of the Terminal
  2. You may also terminate this Agreement at any time by deactivating your Account with us and returning the Terminal.
  3. The Terminal is, and will at all times be and remain, the sole and exclusive property of Nomba
  4.  Nomba reserves the right to to withdraw or repossess the POS from the User without prior notice or liability for any reason whatsoever, including without limitation if you breach any of the terms.
  5. In addition to the above, Nomba reserves the right to recall non-performing Terminal(s) and/or give the notice to terminate the contract with Users holding non-performing Terminal(s). Such Terminals should be returned  by the User within 30 calendar days
  6. If these Agreement or your Account with us is terminated or suspended for any reason: (a) the rights granted under these Agreement will end, (b) you agree to immediately terminate and cease use of the Terminals, (c) we may (but have no obligation to) delete your information and account data stored on our servers, and (c) we will not be liable to you or any third party for compensation, reimbursement, or damages for any termination or suspension of use of the Terminals, or for deletion of your information or account data. In addition to any payment obligations under this Agreement, the following sections of these Agreement shall survive and remain in effect in accordance with their terms upon termination: 6(4); 6(7)[Users Obligations]; 7[Chargeback], 8[Card Fraud], 13 [Indemnification]; 14[Assignment]; 16[Governing Law]; 17[Dispute]  
  1.  Encumbrances.  

the User will not grant any security interest in the Terminals to a third party, and will specifically exclude it from any equipment, fixture, floor or blanket secured financing and will otherwise keep it free and clear of all levies, liens and encumbrances, including any that may arise from Agent’s failure to pay any assessments, taxes or similar governmental charges.

  1. Indemnification
  2. In consideration of the Services offered by  Nomba the User hereby irrevocably and unconditionally undertakes and covenants that it shall at all times hereafter well and truly indemnify Nomba and keep Nomba fully indemnified against all losses, claims, demands, liabilities, actions, proceedings, damages, cost, fees and expenses which may be occasioned to Nomba in consequence of  
  1. the User’s failure to comply with or to enforce any provision of this Agreement;
  2. any loss if fraud precautions are not taken by the User;
  3. any loss in the case of any Transaction in which a Card was not presented; and
  4. any loss caused by the User’s violation of Card Schemes’ rules or regulations or the laws of the Federal Republic of Nigeria or of any other country.
  1. Assignment

This Agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you /the User and any attempted transfer or assignment will be null and void.

  1. Amendment 
  1. These POS Terms and Conditions shall be read in conjunction with the Terms and Condition of the Application where applicable.
  2. These POS Terms and Conditions may be reviewed and re-negotiated in the light of changing market conditions. Therefore this contract is subject to periodic updates.

Supplemental terms and conditions or documents that may be posted on the Application from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Application after the date such revised Terms are posted.

  1. Governing Law

These terms and conditions will be governed and interpreted pursuant to the laws of the Federal Republic of Nigeria.

  1. Dispute

Any and all disputes, claims or litigation arising from or related in any way to this Terms or any provisions herein will be resolved by mediation at the Lagos Multi Door Court House, Lagos State, Nigeria. Where such dispute persists, it shall then be resolved by Nigerian Courts in Lagos State. The parties hereby waive any objections against and expressly submit to the exclusive jurisdiction of the Nigerian Courts in Lagos State.

By Accepting these Terms and Conditions/ Agreement, You/ the User hereby irrevocably indemnifies Nomba Financial Services Limited and its Affiliates against any losses, damages, penalties, fines or otherwise, both direct or indirect, that it may suffer as a result of your/ the User’s use and/or misuse of the Terminals

Palmpay Agent POS Service Agreement

PLEASE READ ALL THE CONTENT OF THIS DOCUMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION BEFORE ACCEPTING THIS AGREEMENT. IF YOU DO NOT AGREE WITH ANYTHING IN THIS AGREEMENT, OR IF YOU CANNOT UNDERSTAND THE MEANING OF A PROVISION ACCURATELY, PLEASE DO NOT CLICK “AGREE & NEXT” OR PERFORM ANY FOLLOW-UP ACTIONS.

BY CLICKING “AGREE & NEXT”, OR OTHERWISE ACCEPTING THESE TERMS, YOU ARE SIGNIFYING THAT YOU HAVE READ AND UNDERSTOOD THE TERMS, AND AGREE TO BE BOUND BY THESE TERMS, AND ALL FUTURE MODIFICATIONS TO THESE TERMS IN THIS AGREEMENT.

THIS AGENT POS SERVICE AGREEMENT (“Agreement”) is entered among PALMPAY LIMITED, a private limited company incorporated under the laws of the Federal Republic of Nigeria together with its parent, subsidiaries, successors, assignees and affiliates, (hereinafter referred to as “PalmPay”), ___________, a private limited company incorporated under the laws of the Federal Republic of Nigeria, (hereinafter referred to as “the Aggregator”) and ___________, the holder of National ID/International Passport/BVN No. ________________ (hereinafter referred to as “the Agent”);

PalmPay, the Aggregator, and the Agent are hereinafter jointly referred to as “Parties” and each a “Party”.

WHEREAS

A. PalmPay is a mobile money operator (MMO) licensed by the Central Bank of Nigeria (CBN) to provide mobile payment solutions and value-added services to individuals and businesses.

B. PalmPay, through partnership with a payment terminal service provider (PTSP) licensed by the Central Bank of Nigeria (CBN), develop and deploy a payment solutions application that will run on NIBSS certified android point of sale terminals (the “POS Terminals”), and provide payment terminals and value-added services to a wide range of customers including institutions, corporate bodies, and individuals.

C. PalmPay is licensed by the Nigerian Communications Commission (NCC) to undertake sales and installation of terminal devices.

D. The Aggregator is authorized by PalmPay to promote the deployment and service of the POS Terminal in the designated region and assist to improve the on-boarding experience.

E. The Agent requires PalmPay to provide it with a Point of Sale (POS) Terminal for the acceptance of electronic cards for the receipt of payment from their customers for agency banking and bill payment services.

F. The Parties now wish to enter into this Agreement to set forth the terms and conditions which will govern the relationship in the use of the terminals.

NOW THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the Parties agree as follows:

  1. DEFINITIONS

In this Agreement:

1.1 “Card” means an electronic card either debit, credit, prepaid or a combination (of the two or three variants in one) issued by Nigerian banks;

1.2 “Cardholder” means the owner of the electronic card presented for use on the POS terminal;

1.3 “Hotlist” means the list containing the information on missing, stolen, expired, invalid, canceled or disabled Electronic Debit, Credit or Prepaid card;

1.4 “Agent” means the business or principal which is provided with a POS terminal for accepting payments by means of card;

1.5 “Issuing bank” is the cardholders’ bank which has agreed to credit the acquiring bank on behalf of its Agent for successful transaction;

1.6 “PIN” means a personal identification number inputted or formulated by the cardholder for use on POS;

1.7 “Point of Sale Terminal” or “POS” means the machine used for Electronic Funds Transfer transaction;

1.8 “Palmpay Agent Account” means the mobile money account used for PalmPay Agent’s provision of permissible services from each outlet;

1.9 “Transaction Fees” means the fees payable by the Agent every time an electronic cash value is successfully completed using an electronic payment card;

1.10 “Transfer” means the process by which electronic cash value is transferred from an electronic payment card to another electronic card or account and the terms “Transferring” and “Transferred” shall be construed in like manner.

  1. COMMENCEMENT & TERM

This Agreement shall commence on the Effective Date and shall remain in force for a period of 1 (one) years (Term); and shall automatically renew and extend for an additional 1 (one) year term commencing at the conclusion of the current term unless otherwise terminated in accordance with Clause 12 of this Agreement.

  1. AGENT’S OBLIGATIONS

The Agent shall:

3.1 The Agent shall ensure proper and safe upkeep of the POS terminal.

3.2 The Agent shall not discriminate against any Cardholder who presents his/her card for agency banking and bill payment services except in cases of suspicion of fraud.

3.3 The Agent shall bear responsibility and liability for all local, state and federal government taxes due on its transactions.

3.4 The Agent shall honor all valid cards regardless of the issuing bank.

3.5 The Agent shall ensure the POS display the amount to be authorised on the screen requesting PIN entry, so that the customer can see the amount being paid before authorization.

3.6 The Agent shall not misuse, damage, alter, and attempt to alter or tamper with the POS.

3.7 The Agent shall not disclose to any third party the fees charged by the PalmPay on their POS transactions unless required by law or regulatory agencies and the Agent is obliged to inform PalmPay of any such disclosure.

3.8 For transactions of N100,000.00 (One Hundred Thousand Naira) and above, the Agent shall ensure that cardholder presents a valid form of identification such as Driver’s license, International passport or other forms of Identification accepted by law before accepting a cardholder’s payment card.

3.9 The Agent shall in addition to 3.8 above, request, document the cardholder’s name; means of identification; telephone number and address and make photocopies of the cardholder’s mean of identification for all transactions of N100,000.00 (One Hundred Thousand Naira) and above.

3.10 The Agent shall ensure that cardholders signs both receipts generated by POS terminal and shall compare with the signature behind the cardholder’s card. If the signature does not correspond, the Agent should not provide service to the cardholder and promptly notify PalmPay immediately.

3.11 The Agent should reject any unsigned electronic payment card for POS transactions.

3.12 The Agent report all suspicious transactions to PalmPay not later than 24 hours or the next working day.

3.13 The Agent shall check card security features prior to completing any transaction. Such checks shall include but not be limited to comparing card number on the card with the card number on the POS receipt or voucher.

3.14 The Agent shall compare the last four digits of the card number and name on the card with number printed by the POS terminal if the number differs, the Agent shall contact PalmPay immediately and should not release services to the cardholder.

3.15 The Agent shall ensure that card transactions are performed in a secure environment ensuring that the “card never leaves sight of cardholder” rule is strictly observed. Non-compliance with this will trigger the immediate cancellation of the Agreement and responsibility is passed to the Agent in case of fraud on the card(s).

3.16 In the event of a valid fraudulent transaction claim, the Agent would be charged 105% of the value of the claim if the Agent is found to be negligent in the area of enforcing cardholder identification at the point of receiving the cardholder’s payment card to be used on the POS terminal.

3.17 In the event of a valid fraudulent transaction claim, if the Agent is found to have connived with the perpetrator(s), the Agent would be charged 200% of the value of the claim, reported to the law enforcement agencies and/or blacklisted from POS transactions by regulatory authorities.

3.18 The Agent agrees to be responsible for all the actions of the principal and all its employees including fraudulent acts or omissions.

3.19 The Agent has consented to discretionary use of transaction and other Agent information obtained by Palmpay.

3.20 PalmPay may freeze the Agent’s Palmpay Agent and/or Palmpay account in an event where a fraudulent POS transaction is reported on the POS terminal deployed to the Agent’s location.

  1. PALMPAY’S OBLIGATIONS

PalmPay shall:

4.1 provide the POS Terminals to PTSP for the development of the payment solutions application;

4.2 develop the payment solutions application for the POS Terminals;

4.3 be responsible for the software maintenance of the POS Terminals;

4.4 facilitate the acquisition of a terminal ID from the acquiring bank and advice PTSP in batches for configuration of the POS Terminals;

4.5 offer other support services for efficient and effective operation of this Agreement; and

4.6 be responsible for providing technical support to terminal users at the expense of the Agent.

4.7 ensure all POS terminals procured by PalmPay are compliant with minimum POS specifications.

4.8 cover the costs of repairs and replacements of parts for malfunction and damage of terminals caused by PalmPay.

  1. AGGREGATOR’S OBLIGATIONS

The Aggregator shall:

5.1 Promote the deployment and service of POS Terminals to qualified Agents in accordance to existing laws and regulations in the Federal Republic of Nigeria.

5.2 Conduct the 1st round review of the KYC (“Know Your Customer”) documents at Palmpay’s request, which include but not limited to application form, identification documents and proof of address and ensure its completeness, accuracy and quality.

5.3 Promptly notify Palmpay upon the conclusion of the review mentioned in Clause 5.2 and assist in on-boarding process of the Agent in accordance with the compliance policies and standard operating procedure of Palmpay.

5.4 Assist in visitation of the prospective Agents and execution of the agreements.

5.5 Responsible to manage any dispute arise during the promotion and on-boarding stage between the Aggregator and the Agent.

  1. MUTUAL OBLIGATIONS

Each party to this Agreement shall:

6.1 Perform the obligations contained in this Agreement for their collective benefits.

6.2 Cooperate with the other Party by making available the relevant information, documentation and technical personnel in a timely fashion to implement all necessary measures for the services.

6.3 Use all reasonable measures to maintain confidentiality and prevent fraud.

  1. POINT OF SALE (POS) TRANSACTION FEE

7.1 The Parties agree that the transaction fee referred to in Schedule 1 shall be the fee payable by the Agent to PalmPay for the provision of services.

7.2 The Parties agree that the fees can be modified to suit business requirements and be mutually agreed after prior notification.

7.3 The transaction fee shall be paid to PalmPay; this will be deducted from the Agent’s PalmPartner account domiciled in PalmPay.

7.4 The transaction fee payable are as follows:

7.4.1 The Agent shall pay of all Verve cards POS transactions

7.4.2 The Agent shall pay of all Visa cards POS transactions

7.4.3 The Agent shall pay of all MasterCard POS transactions

7.5 The Agent shall under no circumstance charge a different price, surcharge a cardholder or otherwise discriminate against any member of the public who chooses to pay with a card or by other electronic means.

  1. TAXES & DUTIES

8.1 The Parties agree that the taxes & duties referred to in Schedule 2 below shall be the payable by the Agent to PalmPay for the provision of services.

  1. GUARANTEE DEPOSIT

9.1 The Agent shall enter a separate arrangement with the Aggregator regarding the guarantee deposit per each POS terminal.

9.2 The Agent and the Aggregator hereby indemnify Palmpay for any consequence and losses result from the actual guarantee deposit amount negotiated between the Agent and the Aggregator.

9.3 PalmPay shall not be involved in any disputes that may arise between the Aggregator and any of its, his or her acquired Agent with regard to the guarantee deposit.

  1. SETTLEMENT REVERSAL

10.1 All successful transactions would be settled to the Agent’s Palmpay Agent account.

10.2 Agent Settlement will take place within the close of business day on a T+1 basis, (where T is day of the transaction) barring unforeseen events which are beyond the control of PalmPay.

10.3 Settlement of the Agent transaction would only be done on a working day (i.e. Monday to Friday except on national or state declared holidays). Settlement of the Agent transaction done on weekends and public holidays will take place at the close of the next working day.

10.4 The Agent would keep all cardholder’s name, cardholder’s address, cardholder’s telephone, Agent issued receipts, and receipt/invoicing log for a minimum of 180 days (one hundred and eighty days) and the documents should be presented to PalmPay within 24 hours of request. The Agent who fails to provide the above within the stipulated timeline will not be entitled to receive their settled funds correspondingly.

10.5 The Agent shall report to PalmPay if it erroneously receives POS transaction funds not transacted on the POS terminal(s) deployed to them.

  1. CHARGEBACK

11.1 PalmPay Chargeback.

11.1.1 PalmPay Chargeback means the chargeback request made by the Cardholder to PalmPay through the Agent for unsuccessful or declined POS transactions.

11.1.2 In the event of an unsuccessful or declined POS transaction, the Agent may initiate a chargeback on behalf of the Cardholder on the PalmPartner App after obtaining the Cardholder’s authorization.

11.1.3 The Agent shall provide the information required by PalmPay on behalf of the Cardholder to prove the POS transactions is unsuccessful or declined. It is at PalmPay’s sole discretion to decide whether to accept the request or not.

11.1.4 If the Cardholder’s chargeback request to PalmPay via the Agent is successful, PalmPay will credit the amount directly to the Cardholder’s bank account.

11.1.5 The Agent should clearly inform the Cardholder that if the Cardholder has applied for a Chargeback with PalmPay, the Cardholder shall not apply for a Chargeback with the issuing bank for the same POS transaction. The Agent hereby indemnify Palmpay of any loss incurred due to the Cardholder’s application of a Chargeback with the issuing bank upon applied for a Chargeback with PalmPay. Agent shall indemnify PalmPay through its Palmpay Agent account and if the balance in his or her Palmpay Agent account is insufficient to cover PalmPay’s losses, the Agent hereby authorises PalmPay to deduct the corresponding losses from his or her PalmPay account.

11.1.6 The Agent undertakes to provide accurate information in relation to the PalmPay Chargeback on behalf of the Cardholder. The Agent shall indemnify PalmPay for any loss arising from incorrect information provided. Agent shall indemnify PalmPay through its Palmpay Agent account and if the balance in his or her Palmpay Agent account is insufficient to cover PalmPay’s losses, the Agent hereby authorises PalmPay to deduct the corresponding losses from his or her PalmPay account.

11.1.7 The Agent hereby undertakes not to engage in any malpractice with the objective of defrauding Cardholders or PalmPay.

11.2 Chargeback Request to the Issuing Bank

11.2.1 Chargeback Request to the issuing bank means the chargeback made by the Cardholder to the Issuing Bank regarding the POS transactions that may be either unsuccessful or declined.

11.2.2 PalmPay is entitled to debit the Agent for the value of the amount where Chargeback Request to the Issuing Bank has been submitted to PalmPay for the sucessful POS transaction. The Agent would receive his or her funds if satisfactorily documentary evidence is provided to oppose the request.

11.2.3 In case of unsuccessful or declined POS transactions, the Cardholder may submit a Chargeback request through the Agent to PalmPay or the issuing bank, however, the chargeback request can only be submitted to one of the parties.

11.3 The Agent shall not under any circumstance refund the Cardholder in cash or by providing the requested services for unsuccessful or declined POS transactions.

11.4 PalmPay shall not be held liable for any losses may incur from a chargeback request through the Agent for unsuccessful or declined POS transactions.

  1. INDEMNITY

12.1 The Agent and the Aggregator shall agree to defend, indemnify, and hold PalmPay, its officers, directors, employees, agents, licensees, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of this Agreement.

  1. TERMINATION

13.1 Where PalmPay wishes to terminate this Agreement as a result of breach of any of the provisions of this Agreement by the Agent or the Aggregator, PalmPay shall give the Agent or the Aggregator at least fourteen (14) days’ written notice of such breach and requiring the Agent or the Aggregator to rectify the breach.

13.2 Where the Agent or the Aggregator fails to rectify the breach within the stipulated period, the PalmPay may terminate the Agreement forthwith. Such termination shall be without prejudice to any claim PalmPay may have against the Agent or the Aggregator arising from the alleged breach.

13.3 Termination of this Agreement for any cause shall not affect any rights or obligations of the Parties under the Agreement, which had already accrued at the time of termination.

13.4 Each party may terminate this Agreement upon fourteen (14) days’ written notice to the other party. If no party exercises its right to terminate, then the Agent and the Aggregator hereby agrees and undertakes not to take any injunctive step or seek an injunction to restrain the possession of the POS at any time whether or not the parties are in court or dispute. PalmPay reserves the right to terminate this Agreement immediately irrespective of the above provision.

  1. ASSIGNMENT

14.1 No Party may assign any of their rights, obligations or responsibilities under this Agreement without the prior written consent of the other Party and in absence of such consent any such assignment shall be null and void.

  1. REPRESENTATIONS AND WARRANTIES

15.1 Each Party represents and warrants, as of the Effective Date, to the other Party that:

15.1.1 it has full power and authority to enter into, and perform its obligations under, this Agreement;

15.1.2 there are no conditions, events, occurrences or other circumstances that might materially adversely affect its ability to carry out its obligations under this Agreement;

15.1.3 its execution and performance of this Agreement will not contravene any provision of, or constitute a default under, any law, its constitutional documents or other agreement to which it is a party; and

15.1.4 it has the financial capability, technical competence and good standing to perform its obligations under this Agreement.

  1. WAIVER

16.1 In the event of any dispute or litigation by way of court action, arbitration or otherwise PalmPay shall without prejudice to its right have the right to repossess the POS, and the Agent and the Aggregator hereby agrees and undertakes not to take any injunctive step or seek an injunction to restrain the possession of the POS at any time whether or not the parties are in court or dispute.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 PalmPay shall not be involved in any disputes that may arise between the Agent and any of its Customers.

17.2 Where any dispute, claim or controversy arises between the Parties (hereinafter referred to as the “Dispute”), concerning this Agreement, the Parties shall attempt to resolve the dispute by negotiation. For the avoidance of doubt, this will entail that one Party invites the other Party in writing to meet, to resolve the dispute within thirty (30) days from the date of the written invitation.

17.3 If the Dispute has not been resolved by such negotiation, the Parties shall submit the Dispute to the Lagos Chamber of Commerce International Arbitration Centre (LACIAC) (which rules are deemed to be incorporated by reference into this clause).

17.4 The arbitration shall be held in Lagos, Nigeria and shall be conducted in English.

17.5 The validity, construction and interpretation of this Agreement and the rights and duties of the Parties hereto shall be governed by the laws of the Federal Republic of Nigeria and the Parties hereby submit to the jurisdiction of the Courts of the Federal Republic of Nigeria.

  1. FORCE MAJEURE

18.1 No Party shall be liable for loss or damage arising out of any delay or failure of performance caused by circumstances beyond its control including but not limited to earthquakes, flood, hurricane, act of God or of public enemies, war, national emergencies, invasion, insurrection, riots, strikes, picketing, boycott or interruption of services rendered by any utility or communication service provider nor shall any delay or failure of performance due to said causes be deemed a breach or a default in the performance of this Agreement.

18.2 The party affected by the force majeure event shall immediately within five (5) days of it becoming aware of the event notify the other party of the occurrence.

18.3 Where the force majeure persists for a period longer than sixty (60) days, the non-defaulting party shall have the right to terminate this Agreement forthwith.

18.4 Upon such termination, each Party shall be relieved from its respective obligations, except for obligations for payment of monetary sums which arose prior to the event of Force Majeure.

SCHEDULE ONE: POINT OF SALE (POS) TRANSACTION FEE

0.5% (VAT Inclusive) capped at N100 (One Hundred Naira) per single POS transaction.

The above-preset transaction fee may be subject to adjustment from time to time upon prompt notification from PalmPay to the Aggregator and the Agent.

SCHEDULE TWO: TAXES AND DUTIES

Value-added Tax (VAT) and Stamp Duty (SD) are included in the Transaction Fee as stipulated in Schedule One.

The above-preset taxes & duties may be subject to adjustment from time to time upon prompt notification from PalmPay to the Aggregator and the Agent.

What is the charges on OPAY POS?
The charges on OPAY is 0.5% on withdrawal up to N20,000 and N100 on withdrawal above N20,000 and N10 for a deposit from N5000 and below, N20 for deposit form N5,001 and to N10,000 and any transfer above N10,000 is N30

Important note: Opay will give you commission/bonus from these charges and the amount of commission you get will be determined by your current level. There are 4 different levels on Opay based on the total amount of withdrawal you do monthly, as shown below

Regular merchant: < N2,999,999 withdrawal monthly

Gold merchant: Between N3,000,000 to N4,999,999 total withdrawal monthly

How to become a Opay Agent
It used to be the case that to become an agent, you need to meet the first criteria of being able to withdraw up to N70,000 daily, that is no more the case as anyone can now get an Opay POS.

All you need is your ID card (whether national ID card, Driver’s license, Voter’s card or international passport), Nepa bill, and passport photograph. You can log any complaint on any issue you have on the POS without having to contact any support. you can log dispense error on the POS after the customer has been debited or go to your app dashboard by navigating to transactions. Under the transaction, click on the affected transaction and at the button, you will see LOG COMPLAINT

How do I log POS debit complain on Opay POS
Kindly take the following steps to log your complaints about failed POS transactions;

Start OPAY POS APP on the POS and go to Transaction Detail.
Select the correct Date which the failed transaction occurred, and click on the transaction.
Click on the Complain Icon to raise order complain.
Enter the Complain reason and Opay will investigate the bank settlement. Opay will credit agent’s wallet if we have the settlement of the declined transaction and Agent should give cash to card holder after it is confirmed that Opay has the settlement. (It may take 2 to 3 days for Opay to finish the investigation).

How to manually update your Opay traditional POS
To manually update the Opay application on the Traditional terminal, the merchant is required to follow the below steps;
Switch on the terminal and wait for the terminal to complete the initialization process, On the OPay interface,
1: Press the FUNC key on the OPay Standby interface.
2: Select EXIT APP and press 1 3:Input the password (00000000) 4: Select 1 (YES) to exit the app.
5: On the App manager, press Cancel to show the TMS features.

6: Select 2 (DOWNLOAD) and wait for the upload process to be completed. Once completed, press the ENTER key to complete the update and wait for the terminal to reboot and complete the initialization process.

Opay Mini Bluetooth is not connecting, solution
Connecting to the OPay mini POS

Ensure the Bluetooth on your mobile phone is turned on. If your Bluetooth is not already turned on at step 5 above, you will be prompted to turn on your Bluetooth on your mobile phone.
Ensure that the OPay min POS is turned on. Press and hold down the power button of the mini POS to turn it on.
On the home screen of the OPay mini POS, you will notice there are two different numbers displayed.
i. BT: This means Bluetooth, the number displayed after BT is the name of the OPay mini POS. Use this in identifying the OPay mini POS from the OPay mini app. Eg BT: MPOS000123.
ii. S/N: This is the serial number of the terminal.
